Your contribution to the energy transition
The Head of Legal reports hierarchically to the Italian Managing Director and functionally to the Director Corporate Compliance & Legal Affairs.
- Manage the Italian Legal team
- Lead and oversee the legal department in drafting, reviewing, and negotiating a wide range of agreements, including project development agreements, land lease agreements, PPAs, EPC contracts, supply and service agreements, financial contracts, consultancy agreements, cooperation and joint venture agreements, as well as all related commercial contracts, including sales agreements and documentation supporting M&A transactions
- Review Project finance documents & shareholder agreements
- In relation to project contracts ensure a timely response from the legal department to notifications, variations and project needs in coordination with project management and site teams
- Support the operations departments in handling and negotiating supplier/ subcontractor variations, change orders etc
- Define the procedures for the Legal department
- Manage functional budgets
- Ensure the development of the people in the team
- Define the department objectives, priorities that respect the Company direction giving to the team the future vision
- Support to the establishment and maintaining of companies and corporations (including drafting of minutes and shareholder resolutions)
- Ensure the business adheres to legislation and good practice in all procurement activities
- Coordinate external legal advisors
- Fostering relationships and networking within the legal community
Your energy is required
- Master’s degree in law (LL.B. or equivalent), preferably with a specialization in Energy Law, Corporate Law, or Administrative Law
- Professional qualification to practice law (Bar admission)
- Minimum 10 years of legal experience, within the energy, infrastructure, or industrial sectors.
- At least 5 years in a leadership role
- Proven expertise in managing legal aspects of project development, permitting, EPC contracts, M&A transactions, and corporate governance
- Deep understanding of Italian and EU regulatory frameworks related to renewable energy, land use, environmental law, and grid connection
- Experience in negotiating and drafting complex agreements (e.g., Development Service Agreements, Share Purchase Agreements, EPC and O&M contracts)
- Strong leadership and team management skills, with the ability to coordinate internal legal teams and external counsel
- Excellent communication and negotiation skills, with experience supporting senior management and cross-functional teams
